Cybersecurity software provider Darktrace has agreed to be acquired by Thoma Bravo in a $5.3 billion transaction. This all-cash deal values ​​Darktrace at $7.75 billion per share, a 20 percent premium to its last share price. The acquisition is expected to be completed in the second half of 2024.

Software investment firm Thoma Bravo has reached an agreement with Darktrace’s board for a $5.3 billion acquisition. “Thoma Bravo has been investing exclusively in software for more than two decades, and we will leverage the full spectrum of our platform, operational expertise and extensive cybersecurity experience to support Darktrace’s growth,” said Andrew Almeida, Partner at Thomas Bravo.

Darktrace’s flagship product is the cybersecurity platform ActiveAI Security Platform, which the company says is used by more than 9,400 organizations. This software blocks AI-based cyberattacks in cloud environments, employee devices and technology resources.

Take over

This is not the first time that Thoma Bravo has shown interest in Darktrace. In 2022, the private equity firm attempted to acquire Darktrace, but the offer was not approved. The current acquisition is expected to be completed in the second half of 2024. Thoma Bravo’s goal is to improve Darktrace’s cybersecurity capabilities and increase its market presence.
