Twitter on Tuesday filed a lawsuit against billionaire Elon Musk for compelling him to complete a previously signed deal to buy the social network for $44 billion.

In April, Musk agreed to buy Twitter, but said last week that he plans to pull out of the deal. Twitter sued him in a civil court in the state of Delaware. The court must decide whether Musk has sufficient arguments that the social network violated the terms of the agreement so he can reject it.

“Musk refuses to honor his obligations to Twitter and its shareholders because the deal he signed no longer fits his personal interests,” the company’s lawsuit says. “Musk apparently believes that, unlike any other party subject to Delaware contract law, he is free to change his mind, bankrupt the company, disrupt operations, destroy stock value, and walk away.”

Musk claims that Twitter refuses to disclose information about spambots or fake accounts registered on the social network. According to him, he does not believe the company’s claims that only 5% of the public’s active users are bots. Twitter, in its view, deliberately misleads the public and hinders efforts to find out more. He also blames the company for failing to warn him about the firing of two key executives.

“Musk wanted to flee,” the company said. “But the merger deal leaves him very little room (to reject).”

Musk’s threats could force Twitter to negotiate and allow the billionaire to buy the company at a discount. if excitement If it loses, it could have disastrous consequences for the company. Its shares are already down more than 35% – below the recommended $54.2 per share price.
