Sega confirms its interest in acquiring Rovio

You may remember that last Saturday we told you that Sega could be finalizing the purchase of Rovio. Well, although not all details of this information turned out to be correct, the main aspect of the said reports was only confirmed two days later and officially, via a statement released by Sega confirming not only its interest but also its positive reception by Rovio.

As we can read in the said statement, the purchase amount will be less than 1,000 million dollars. In the mentioned official communication, the Japanese company declares that «SEGA intends to acquire all outstanding Rovio shares and options for 9.25 euros per share and 1.48 uros per option, or a total of 706 million euros«. It’s a rather less round figure, but we already have evidence that it was adopted by the studio that made Angry Birds.

Although the information was leaked on Saturday, the operation was still awaiting approval from Sega’s board of directors, which met today to consider its terms and approve it. However, we understand that its terms have already been discussed by the members, so today’s meeting was only a necessary formality to start operations.

Regarding both the current situation as far as Rovio and its shareholders are concerned, as well as possible actions by regulators, Sega states the following:

«The acquisition is a friendly takeover bid as Rovio’s board of directors has agreed and expressed its support for the tender offer. Rovio stockholders who together own shares representing approximately 49.1 percent of Rovio’s outstanding shares and votes; have irrevocably agreed to accept the Offer, under certain customary conditions. The acquisition is expected to close in the second quarter of fiscal 2024/3 and is subject to the completion of due diligence under applicable antitrust laws and other customary conditions.»

In other words, prior dealings with Rovio would have already assured Sega that it had their approval. And as for the possible actions of the regulatory authorities, although they play a key role in the purchase of Activision-Blizzard King by Microsoft, in this case we can expect the operation to continue without encountering resistance.

Apart from the terms of the transaction, the most interesting thing is also the press release mentions Sega’s plans to help expand Rovio titles”outside of mobile games«which highlights new Angry Birds titles for consoles as well as new movies and TV series.
